Abstract
Bu çalışmanın ana konusu borsaya kote ortaklıklarda genel kurullara katılıma ilişkin olarak 6102 sayılı Türk Ticaret Kanunu (YTTK) ile düzenlenen sistemin aydınlatılmasıdır. Bu çerçevede öncelikle borsaya kote ortaklıklara ilişkin olarak YTTK'da benimsenen terminoloji incelenmiş ve çalışmanın kapsadığı ortaklık türleri belirlenmiştir. Sonrasında YTTK'nın genel kurullara ilişkin hükümleri incelenmiş, TTK hükümlerinde konuyla ilgili yapılan değişiklikler açıklanmış ve YTTK m.1527 uyarınca borsaya kote anonim şirketler açısından zorunlu tutulmuş olan genel kurullara elektronik ortamda katılım üzerinde durulmuştur. Bu amaçla dünyada genel kurullara elektronik ortamda katılıma izin veren hukuk sistemleri ve benimsenen uygulamalar da çalışmamızda yer almıştır. Üzerinde önemle durulan bir diğer konu, TTK'da yer almamasına rağmen YTTK'da ayrıntılı şekilde düzenlenmiş olan pay sahiplerinin genel kurulda temsil edilmesi hükümleridir. Söz konusu hükümlerin amacı ve yabancı hukuk sistemlerinde konunun düzenleniş şekli çalışmamızda yer almaktadır. Son olarak elektronik ortamda genel kurullara katılım konusunda YTTK m.1527 hükmü uyarınca yetkilendirilmiş olan Merkezi Kayıt Kuruluşu'nun üstlenebileceği fonksiyonlar üzerinde durulmuş ve model önerisinde bulunulmuştur
The scope of the thesis is the clarification on participation to shareholder meetings of listed companies under Turkish Commercial Code No.6102 (New Code). Firstly the terminology adopted in the New Code in relation to the listed companies is reviewed and the companies which fall in the scope of the thesis are defined. Secondly provisions regarding the shareholder meetings under the New Code are examined and related alterations to Turkish Commercial Code No.6762 (TTC) are explained. Also studied in the thesis is electronic participation to the shareholder meetings which is obligatory for listed companies under article No.1527 of the New Code. At this point the foreign laws which allow electronic participation to shareholder meetings and their pratics are explained. An other subject which is throughly examined in the thesis is detailed and new proxy regulations under the New Code. The aim of the said regulations and related provisions under foreign laws are contained in the thesis. Lastly, since Central Registry Agency is charged with certain duties regarding electronic participation to the shareholder meetings of listed companies under article No.1527 of the New Code, possible functions it may undertake are discussed as well as suggestions on a participation model .
