Reel Sektör ve Bankacılık Sektöründe Sahipsizlik Riski

Abstract

Berle ve Means'in 1932'de yayımladıkları ?The Modern Corporation and Private Property? adlı kitaplarıyla ortaklıklarda sahiplik ile kontrol fonksiyonlarının ayrışmasına ilişkin geniş bir literatür ortaya çıkmıştır. Kitabın yayımından sonra güç boşluğunun, ortaklıkların en önemli problemlerinden bir olduğu da anlaşılmıştır. İzleyen yıllarda Vekalet Teorisi literatürdeki yerini almış ancak ne vekalet teorisine ilişkin tartışmalar ne de kurumsal yönetime ilişkin kurallar modern firmaların problemlerini, iflas veya başarısızlıklarını önleyememiştir. Fakat, günümüzde sahiplik yapısının kurumsal yönetim ve performans üzerinde önemli etkileri olduğu anlaşılmıştır. Bu tezin esas amacı yaygın ortaklı işletmelerin başarısızlık veya iflaslarında ortaklık yapısının ya da hakim ortak olmamasının rolü olup olmadığını incelemektir. Bir başka deyişle, pek çok küçük ortağın bulunduğu ve ortakların birbirlerine karşı herhangi bir üstünlüklerinin olmadığı ortaklıklara odaklanılmıştır.Tezin birinci bölümünde; sahiplik ve kontrol ayrışması olarak belirtilebilecek olan durumun teoride ele alınan yönleri, vekalet teorisine ilişkin araştırma ve gelişmeler ile güç boşluğu konuları araştırılmıştır. İkinci bölümde ise ?Kurumsal Yönetim? konusu incelenmiştir. Tezin üçüncü bölümü; Türk reel sektörü dördüncü bölümü ise Türk bankacılık sektöründeki ÇOŞ'lerin gelişimi konularına ayrılmıştır. Tezin beşinci bölümünde, Türk bankacılık sektörünün performansı konusunda açıklayıcı değişkenlerin mali başarı olasılığını ne yönde ve ne miktarda değiştirdiği ile hakim ortağı olmayan bankalar açısından bir farklılaşma olup olmadığını belirleme amacı mevcuttur.

The separation of ownership and control of firms has generated large literature since the publication of Berle and Means? ?The Modern Corporation and Private Property? at 1932. After the publication of this book, it is understood that absentee ownership is one of the biggest problems of modern companies. In the following years, the ?Agency Theory? made its place in the literature. Neither Agency Theory arguments nor corporate governance rules could prevent the modern companies problems and bankruptcies or failures. But it is now well understood that ownership structure has important implications for corporate governance and performance. The main thesis of this paper is to find out the cause of failure of the corporations which has widely dispersed ownership and whether this failure is due toownership structure or to lack of large shareholders that results bankruptcies or failures. In other words, we focused on the companies which have many small owners and which partners have no superior rights over one another.The first section of this paper explores aspects of the separation of ownership and control in theory, and research and development of Agency Theory and absentee ownership. Second section is dedicated to the subject of Corporate Governance. In the third section Turkish real economy, and the fourth section explores the observations on the development of widely dispersed corporations (which has no majority stakeholder) in the Turkish banking sector. The fifth section of this thesis evaluates how and whether the explanatory variables effect the corporation performance of the Turkish Banking sector, and in particular whether these effects vary for banks with no majority stakeholder.
